Company registration
EuroCollegia carries out registration of all types of business organizations, - as wide-spread one can mention LLC and JSC. Registering LLC or JSC in Latvia it is important to know that:
Your presence in Latvia during registration is not obligatory.
EuroCollegia will prepare and submit for you all necessary documents. From you it is only required:
- Power of Attorney;
- Your confirmation of bank questionnaire for opening a settlement account.
Fixed capital:
- Minimal amount of fixed capital of Limited Liability Company - 2000 lat (2845 EUR). Fixed capital can be paid up with money as well as property input;
- Minimal amount of fixed capital of Joint Stock Company 25 000 lat (35 570 EUR). Fixed capital can be paid up only with money.
Members of LLC or JSC can be:
- Physical as well as legal persons;
- Residents and non-residents of Latvia;
- Minimal number of members - 1.
Board of directors of LLC or JSC can include:
- Physical persons;
- Residents and non-residents of Latvia;
- Minimal number of members - 1.
Registration period:
EuroCollegiawill register your LLC of JSC within 1 - 5 days.
Documentsnecessary for registration:
- Application;
- Memorandum of Association (if the number offounder is one, resolution on establishment of a company shall be prepared and signed instead of memorandum of association);
- Articles of Association;
- Bank reference stating that fixed capital is paid up (if fixed capital or part thereof is paid up with money);
- Notice from Board of directors about legal address of a company;
- Receipt confirming state duty payment;
- Receipt confirming payment for publication in official newspaper «Latvijas Vēstnesis»;
- Copies of ID documents;
- And other necessary documents.
Registration into the State registers and assignment of VAT number.
Since the documents are prepared and agreed upon with the customer, the company is to be registered in the Register of Enterprises, State Revenue Service as a taxpayer. If necessary, the company is registered in the VAT Register as a VAT payer. Upon registration in the VAT Register VAT registration number is assigned to the company under which it is identified on the whole EU territory.
VAT number is assigned within 14 - 20 days.
Opening of settlement account.
EuroCollegiaassists and provides consultation on opening of settlement accounts in banks of Latvia taking into account options which are best for you. We will listen to you carefully and give our recommendation – where it is better to open an account and how to do it safely and in a short time.
One of the advantages of Latvian banks is their excellent service, including customer service in Russian, which is not available in most of the EU banks. That allows you without any intermediary to control settlement operations and get answers to your questions in Russian.
When opening an account the customer does not have to come to Latvia personally – EuroCollegiawill prepare all necessary documents and carry out all formalities with guarantee of complete confidentiality. In future, if so desired by the customer, EuroCollegiacan operate the settlement account; carry out record-keeping and administration of transactions.
Legal address.
EuroCollegiawillensureregistrationof legal address of your company, as it is required in order to register your company in the Register of Enterprises.
Certification of document authenticity – legalization (Apostille).
By the customer’s order EuroCollegiawill promptly prepare and submit for further legalization documents presented in Latvia or abroad.
Legalization of official document submitted in Latvia, if such is intended to be used abroad, and legalization of official document issued abroad, if such is intended to be used in Latvia, is made by the authorized officers of diplomatic or consular services.
Document is legalized by apostille, confirming authenticity of signature and status of a person who signed the document, and, if necessary, authenticity of seal or stamp impression on the document. State duty is to be paid for official legalization of documents.
